Terms of Service

Last updated: 26 August 2026

Introduction

These Terms of Service explain the basic terms that apply when you use the Karimique website or engage Karimique for our services.

By using our website or engaging our services, you agree to these terms.

About Karimique

Karimique is a technology company focused on helping healthcare organisations make better use of the web and modern software.

We provide services including website development, web applications, website maintenance, and other digital solutions.

Using Our Website

You may use our website for lawful purposes only.

You agree not to:

  • Use the website for unlawful or fraudulent activities
  • Attempt to gain unauthorised access to our website or systems
  • Interfere with the operation or security of the website
  • Copy, reproduce, or misuse our content, branding, or other intellectual property without permission

We may update, change, or temporarily suspend parts of the website when necessary.

Project Enquiries

Submitting a project request through our website does not create a contract between you and Karimique.

Information submitted through the Get Started form helps us understand your requirements and determine how we may assist you.

A project begins only after the scope, pricing, responsibilities, timelines, payment terms, and other relevant conditions have been agreed upon by both parties.

Our Services

The exact services Karimique provides will depend on the project agreed with the client and or listed services here.

Project requirements, deliverables, timelines, revisions, payments, and other conditions may be set out in a separate proposal, quotation, agreement, or contract.

We will make reasonable efforts to deliver services according to the agreed scope.

Requests or changes outside the agreed scope may require additional time or fees.

Client Responsibilities

Clients are responsible for providing accurate information, content, materials, approvals, and feedback necessary for their project.

Delays in providing required information, approvals, or materials may affect project timelines.

Clients must also ensure that they have the necessary rights and permissions to provide any content, images, trademarks, documents, or other materials supplied to Karimique.

Payments

Unless otherwise agreed in writing, project payments are divided into three stages:

  • 50% deposit before the project begins. This initial deposit is non-refundable and is required before work commences.
  • 25% after the main project work has been completed.
  • 25% upon completion of the final stage of the project, including final touches, debugging, proofreading, and other agreed final checks, before the project repository is handed over.

Only the initial 50% deposit is non-refundable. The remaining payments are subject to the agreed project terms.

Work outside the agreed project scope may incur additional charges. Any additional charges will be communicated and agreed upon before the additional work is undertaken where reasonably possible.

Project Completion and Handover

A project is considered ready for handover once the agreed work has been completed and the final touches, debugging, proofreading, and other agreed checks have been carried out.

The project repository and other agreed deliverables will be handed over after all outstanding project payments have been received.

Intellectual Property

Unless otherwise agreed in writing, Karimique retains ownership of its existing code, systems, frameworks, designs, processes, tools, and other materials developed independently of a client's project.

Ownership or licensing of project-specific work will be determined by the agreement between Karimique and the client.

Clients retain ownership of content and materials they provide to Karimique, subject to any third-party rights.

Third-Party Services

Some projects may depend on third-party services, platforms, hosting providers, APIs, plugins, payment providers, or other technologies.

Karimique is not responsible for interruptions, changes, failures, or decisions made by third-party providers outside our reasonable control.

Where third-party services involve additional costs, those costs may be the responsibility of the client as agreed.

Limitation of Liability

We take reasonable care in providing our services, but we cannot guarantee that every website, application, or digital solution will always operate without interruption, errors, or issues.

To the extent permitted by applicable law, Karimique will not be responsible for losses arising from circumstances outside our reasonable control, including third-party failures, misuse of a service, or information supplied incorrectly by a client.

Nothing in these terms excludes or limits liability where doing so would be unlawful.

Changes and Termination

Either Karimique or a client may end a project or service relationship according to the terms agreed for that project.

If a project is terminated, the client remains responsible for fees for work already completed and any other agreed obligations.

The initial 50% deposit remains non-refundable in accordance with payments section.

We may suspend or terminate access to our website where reasonably necessary to protect our systems, users, or business.

Changes to These Terms

We may update these Terms of Service from time to time.

When we make changes, we will update the "Last updated" date at the top of this page.

Your continued use of the website after changes are published means that you accept the updated terms.

Governing Law

These Terms of Service are governed by the laws of Kenya.

Any disputes relating to these terms or our services will be handled in accordance with the applicable laws and legal processes of Kenya.
